Terms of Service

1. Acceptance of Terms

By accessing or using WhisperPlan ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

WhisperPlan is a voice-to-task management application that uses AI to transcribe voice recordings and extract actionable tasks. The Service includes:

  • Voice recording and transcription
  • AI-powered task extraction
  • Task and project management
  • Cloud synchronization
  • Calendar integration

3. User Accounts

3.1 Account Creation

To use WhisperPlan, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

3.2 Account Eligibility

You must be at least 13 years old to use WhisperPlan. By creating an account, you represent that you meet this age requirement.

3.3 Account Termination

You may delete your account at any time through the app settings. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans

4.1 Free Plan

The Free plan includes limited features as described on our pricing page. We may modify Free plan limitations at any time with reasonable notice.

4.2 Pro Subscription

The Pro subscription provides unlimited access to all features for €5.85/month (charged annually at €70/year). Subscriptions are:

  • Billed through Apple App Store
  • Auto-renewable unless cancelled
  • Subject to Apple's subscription terms
  • Non-refundable except as required by law

4.3 Cancellation

You may cancel your Pro subscription at any time through your Apple App Store settings. Cancellation takes effect at the end of the current billing period.

4.4 Price Changes

We reserve the right to modify subscription prices with at least 30 days' notice. Price changes do not affect existing subscriptions until renewal.

5. Acceptable Use

5.1 Permitted Use

You may use WhisperPlan for lawful personal or business task management purposes.

5.2 Prohibited Activities

You agree NOT to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or viruses
  • Attempt to gain unauthorized access to the Service
  • Reverse engineer or decompile the app
  • Use the Service to harass, abuse, or harm others
  • Share your account with others
  • Resell or redistribute the Service
  • Use automated systems to access the Service excessively

6. Intellectual Property

6.1 Our Rights

WhisperPlan, including its design, features, code, and content, is owned by us and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of the content you create (tasks, notes, recordings). By using the Service, you grant us a license to:

  • Store and process your content to provide the Service
  • Use anonymized, aggregated data to improve the Service

This license ends when you delete your content or account.

7. Third-Party Services

WhisperPlan integrates with third-party services (OpenAI, Google Gemini, Firebase). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

8. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy. By using WhisperPlan, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers and Limitations

9.1 Service Availability

WhisperPlan is provided "as is" without warranties of any kind. We do not guarantee:

  • Uninterrupted or error-free service
  • 100% accurate transcription or task extraction
  • Compatibility with all devices or iOS versions
  • Data backup or recovery

9.2 Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of data, profits, or business opportunities
  • Damages exceeding the amount you paid in the last 12 months

9.3 AI Accuracy

AI-powered features (transcription, task extraction) may contain errors. You are responsible for reviewing and verifying all AI-generated content.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Changes to Terms

We may modify these Terms at any time. Material changes will be notified through the app or via email. Continued use after changes constitutes acceptance of the new Terms.

12. Termination

We may suspend or terminate your access to WhisperPlan at any time for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Extended periods of inactivity
  • At our discretion with reasonable notice

Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable grace period.

13. Governing Law

These Terms are governed by the laws of France, without regard to conflict of law principles. Any disputes shall be resolved in the courts of France.

14. Dispute Resolution

For any disputes, we encourage you to contact us first at hello@whisperplan.app to seek an informal resolution.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WhisperPlan regarding the Service.
